These terms describe the conditions on which Burohelp BV, a company registered under Dutch law in The Hague with the Chamber of Commerce number: 92454097, whose Corporate HeadQuarter is located at Jan Pieterszoon Coenstraat 7, 2595 WP, The Hague, The Netherlands, represented by Mr. Israel Martis, duly authorised for the purpose of this agreement in his capacity as Chief Executive Officer, may provide the customer with the services resulting from its (CSR) Corporate Social Responsibility Platform. By using Burohelp’s CSR Platform, the customer agrees to be bound by these Terms of Use.Any reference to a “Party” or “Parties” in these Terms of Use means the customer or Burohelp.
These Terms of Service (the “Terms”), including its appendices listed below, order form, and/or any other agreement, constitute the entire agreement (“Agreement”) between the customer and Burohelp (“Burohelp,” “we,” “our,” or “us”), regarding the customer’s use of our services specified in the Terms (the Burohelp CSR Platform and services are collectively referred to as the “Burohelp CSR Platform” or the “Service”). Please read these Terms carefully. The customer may authorise its employees or other individual authorised users (collectively, “Authorised Users”) to use the Service. The customer agrees that it is fully responsible for any use of the Burohelp CSR Platform by an Authorised User, including any breach by an Authorised User of these Terms.
The following appendices form an inseparable part of and are governed by the terms of these Terms of Service:

- Annex 2: CCPA Addendum
In the event of any conflicting terms in the Terms and its appendices, the Terms shall take precedence over the appendices, except in matters relating to the processing of personal data, in which case Annex 1 (Data Processing Agreement) shall take precedence.
1. The Burohelp Corporate Social Responsibility Platform (Burohelp CSR Platform)
The Burohelp CSR Platform is a purpose-driven organisation dedicated to empowering nonprofits by connecting them with corporate partners willing to contribute their expertise, resources, and time. Many nonprofits struggle with securing sustainable funding, finding enough volunteers, and increasing their societal impact. Burohelp helps bridge these gaps by facilitating meaningful partnerships where corporate employees can provide hands-on support through CSR initiatives. Our platform fosters collaboration, inclusivity, equity and diversity for long-term social impact, ensuring that nonprofits gain the strategic and operational assistance they need to thrive and drive real change in their communities.
Through its network, Burohelp connects companies with nonprofits, including organisations supporting vulnerable communities, social causes, and grassroots initiatives. By facilitating these connections, Burohelp helps nonprofits gain access to corporate resources, skills, and volunteer support, enabling them to expand their impact and operate more effectively. In exchange, businesses are provided with Corporate Social Responsibility (CSR) opportunities for social impact and meaningful engagement, fostering stronger, more resilient communities.
Burohelp also offers companies free positive social media exposure, reports on their impact, and the opportunity to donate to marginalised small and medium-sized Non-Profits when they align with Burohelp's mission. Ultimately, Burohelp's goal is to create a more inclusive society where businesses and non-profits support one another for mutual benefit.
2. Eligibility
The Burohelp CSR Platform is designed for both nonprofits and businesses, facilitating collaboration for social impact. As it serves organisations rather than individual consumers, consumer protection legislation does not apply.
All users of the platform must be 18 years of age or older to enter into this agreement and use the Service. Users represent and warrant that any information they submit is true and accurate and that they are 18 years of age or older and are fully able and competent to enter into, and abide by these Terms, and that they have the authorisation to bind the Customer entity listed on the Agreement, if applicable.
3. Account Registration
All Authorised Users must register to use the Service with their work email address. They agree to, and cause all Authorised Users to:
- (a) provide accurate, current and complete information as may be prompted by registration forms on the Burohelp CSR Platform (“Registration Data”);
- (b) maintain the security of, and not share with any third party, any logins, passwords, or other credentials that the customer or any Authorised User selects or that are provided to the customer or any Authorised User for use on the Service;
- (c) maintain and promptly update the Registration Data, and any other information the customer or any Authorised User provides to us, and to keep all such information accurate, current, and complete; and
- (d) notify us immediately of any unauthorised use of any Authorised User account or any other breach of security by emailing us at dpo@burohelp.com any activity on an Authorised User’s account shall be the sole responsibility of the Customer.
4. Initial Usage Period
- If the company decides to continue, the unmanaged hours will convert into managed hours, and they will be billed accordingly as part of the subscription agreement.
- If the company decides to discontinue the usage of Burohelp, the unmanaged hours consumed by the employees will be invoiced and paid to Burohelp.

5. Fees and payment
Burohelp operates on a Fixed-Fee model, yet reserves the right to implement fees or modify fees for certain services at any time by providing notice on the Burohelp CSR Platform or through other means. When a company purchases any Paid Services, the company authorises Burohelp or its third-party payment processors to charge the credit card or any other payment method provided (which the company represents and warrants it is authorised to use) for all applicable fees, including taxes. The company agrees that Burohelp's payment provider may store payment information for future transactions.
If Burohelp does not receive payment from the company’s payment provider, the company agrees to pay all amounts due upon demand. Burohelp may suspend access to the Services until full payment is received or terminate the Terms of Service. All sales are final, and Burohelp does not issue refunds, including for prepaid monthly or annual fees. If a company opts for an automatic recurring payment and later decides to cancel the subscription, it is the company’s responsibility to cancel the payment. Burohelp does not refund automatic payments that are not cancelled in time.
Burohelp provides a 24-month agreement for all prepaid hours. This timeframe allows both customer and Burohelp sufficient opportunity to identify and facilitate suitable volunteering opportunities for employees. Any prepaid hours remaining beyond the 24-month agreement are either refundable or can be utilised in month 25 and beyond in a renewal agreement.

6. Access; Use Restrictions
The customer’s access and use of the Burohelp CSR Platform are based on the Burohelp workspace, data source, data destination, and usage restrictions. Access and use may be restricted to specific individuals, teams, or data access/usage within the customer. Additional restrictions may apply and may change from time to time. Burohelp will use reasonable efforts to provide the customer with advance notice of any impending changes in a timely manner. Specific written agreements regarding access and usage restrictions will be outlined in the Agreement and will override these Terms.
Without limiting the generality of the foregoing, the customer agrees that it will not, will not attempt to, and will not permit or encourage any third party to:
1. Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain improper access to any software component of the Service, in whole or in part;
2. Modify or create derivative works of the Service, in whole or in part;
3. Use the Burohelp CSR Platform in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any third party;
4. Interfere with or disrupt the integrity of the Burohelp CSR Platform or any content or data contained therein or transmitted thereby;
5. Access, monitor, or copy any content or information on the Burohelp CSR Platform using any robot, spider, scraper, or other automated means or any manual process for any purpose without Burohelp’s express written permission;
6. Violate the restrictions in any robot exclusion headers on the Burohelp CSR Platform or bypass or circumvent other measures employed to prevent or limit access to the Service;
7. Take any action that imposes, or may impose, in Burohelp’s discretion, an unreasonable or disproportionately large load on Burohelp’s infrastructure;
8. Deep-link to any portion of the Burohelp CSR Platform for any purpose without Burohelp’s express written permission;
9. “Frame,” “mirror,” sell, resell, rent, or lease any portion of the Burohelp CSR Platform or otherwise incorporate any part of the Burohelp CSR Platform into any other website without Burohelp’s prior written authorisation;
10. Input any virus, malware, or other harmful code into the Service;
11. Use the Burohelp CSR Platform or any Burohelp Confidential Information for benchmarking or competitive analysis with respect to competitive or related products or services, or to develop, commercialise, license, or sell any product, service, or technology that could, directly or indirectly, compete with the Service; or
12. Violate any applicable local, provincial, national, or international law or regulation.
Burohelp reserves the right to suspend or terminate the customer’s or any authorised user’s access to the Burohelp CSR Platform at any time if Burohelp has reason to believe that the customer is not complying with these Terms or is otherwise abusing the Service.
7. Third-party services, data and content
7.1 Third-Party Services and Data Sources
The Burohelp CSR Platform enables the customer to download data from multiple third-party data sources and services, including various third-party websites (collectively referred to as “Third-Party Services”). The Third-Party Services from which data can be gathered are selected by Burohelp at its sole discretion. Burohelp may, during the Term, change the Third-Party Services that are compatible with the Platform. Additionally, Burohelp may discontinue support for compatible Third-Party Services if the providers of such services discontinue their offerings or cease making them available to Burohelp.
7.2 Liability and Responsibility for Third-Party Data
Burohelp assumes no liability whatsoever for the data or other content collected from Third-Party Services, such as Meta, LinkedIn, X (formerly known as Twitter), TikTok, or others. The customer is solely responsible for ensuring that it has the right to use the Burohelp CSR Platform for gathering and processing any such data. The customer must obtain all necessary consents and authorisations required for the use and processing of such data or content through the Platform. Burohelp does not assume any liability for Third-Party services or software, and the customer is exclusively responsible for obtaining any necessary licenses or consents for their use.
The customer must familiarise itself with the applicable terms and conditions, including any restrictions on use, related to such Third-Party Services. The customer agrees to comply with the third-party terms and conditions applicable to the Third-Party Services in addition to the terms of this Agreement.
7.3 Links to Third-Party Content
The Burohelp CSR Platform may contain links to web pages and content of third parties as a service to users interested in such information. Burohelp does not monitor, endorse, or adopt, nor does it have any control over, any third-party web pages or content. Burohelp undertakes no responsibility to update or review any such web pages or third-party content and makes no guarantees regarding their accuracy or completeness.
If the customer follows a link or navigates away from the Burohelp CSR Platform, these Terms will no longer govern. The customer should review the applicable terms and policies, including privacy and data-gathering practices, of any third-party web page, content, or service provider accessed through the Platform. The customer accesses and uses third-party content at its own risk.
8. Modifications to the Service
The customer acknowledges that Burohelp may make modifications to the Burohelp CSR Platform during the Term without prior notice; however, Burohelp will use reasonable efforts to notify the customer of any material changes to the Burohelp CSR Platform in advance. In the event of material changes to the Service, Burohelp may provide further instructions to the customer with respect to any actions required to continue access and use of the Service, if necessary.
9. Subcontractors
Burohelp may engage subcontractors to perform the Service under the Agreement, provided that Burohelp remains fully liable for any actions of such subcontractors. Notwithstanding the foregoing, Burohelp shall not be liable for the acts or omissions of any of its hosting Service or data communication service providers.
10. Term and Termination
10.1 Account and Subscription Terms
The customer’s account and subscription to the Burohelp CSR Platform remain in effect unless the customer terminates it or unless Burohelp terminates the account as provided by these Terms. The customer’s account and subscription to the Burohelp CSR Platform may, depending on the customer’s choice, be automatically renewable or valid for a fixed period.
If the subscription is automatically renewable, the customer’s subscription to the Burohelp CSR Platform will remain in effect and will be renewed automatically at the end of each subscription period unless the customer terminates the subscription or Burohelp terminates it.
If the subscription is made for a fixed period and/or is not automatically renewable, the subscription will automatically terminate at the end of the agreed subscription period.
Upon the termination or expiration of the Agreement, the customer must immediately stop using the Service.
10.2 Termination or Suspension by Burohelp
Burohelp may terminate this Agreement or terminate or suspend any Authorised User’s access or use of the Burohelp CSR Platform in the following circumstances:
(a) If the customer’s or any Authorised User’s continued use of the Burohelp CSR Platform may, in Burohelp’s discretion, result in material harm to Burohelp, its subcontractors, affiliates, or another customer of the Service, Burohelp may reasonably block or restrict the customer’s access to the Service;
(b) If the customer or any Authorised User has (i) submitted information to the Burohelp CSR Platform in violation of applicable law or (ii) otherwise used the Burohelp CSR Platform in breach of these Terms, including the restrictions set forth in Section 6 above;
(c) Any fees due by the customer remain unpaid fifteen (15) days after the applicable due date as set forth in the Agreement; or
(d) If the customer commits a material breach of its obligations under the Agreement and does not remedy such breach within thirty (30) days of receiving notice of breach from Burohelp.
10.3 Termination Due to Insolvency or Bankruptcy
Either party may terminate the Agreement upon written notice to the other party if the other party enters into bankruptcy, becomes insolvent, or makes an assignment for the benefit of creditors.
11. Guarantees
Any feedback, comments, suggestions, ideas, or other information provided by the customer in the form of email or other submissions to Burohelp (collectively referred to as “Feedback”) are non-confidential. The customer hereby grants to Burohelp and its subcontractors and affiliates a nonexclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use the customer’s Feedback for any purpose without compensation or attribution to the customer.
12. Trademarks
12.1 Trademarks and Intellectual Property
The “Burohelp” name, the Burohelp logos, and any other product or Burohelp CSR Platform name or slogan contained on the Burohelp CSR Platform are trademarks or registered trademarks of Burohelp and its suppliers or licensors. These may not be copied, imitated, or used, in whole or in part, without the prior written permission of the applicable trademark owner. All other trademarks, registered trademarks, product names, and company names or logos mentioned on the Burohelp CSR Platform are the property of their respective owners. Reference to any products, services, processes, or other information, by trade name, trademark, manufacturer, supplier, or otherwise, does not constitute or imply endorsement, sponsorship, or recommendation thereof by Burohelp, or vice versa.
12.2 Use of Customer’s Name and Logo
Burohelp may use the customer’s company name(s) and logo(s) for marketing purposes, including on the Burohelp website and in press releases, promotional and sales literature, customer/prospect presentations, and customer lists.
13. Trademarks
13.1 Ownership of Intellectual Property
As between the customer and Burohelp, Burohelp owns all right, title, and interest, including all intellectual property rights, in and to the Service, and any services available in connection with the Service. Except for those rights expressly granted in these Terms, no other rights are granted, either express or implied, to the customer, and all other rights are hereby reserved.
14. Confidential information
If Burohelp shares non-public information about the Burohelp CSR Platform with the customer, the customer must keep it confidential and use reasonable security measures to prevent unauthorised disclosure of or access to that information.
15. Privacy Policy and processing of data
15.1 Roles in Data Processing
Burohelp will process personal data as both 1) data controller; and 2) data processor on documented instructions from the customer as the data controller.
15.2 Data Controller Responsibilities
As a data controller, Burohelp processes personal data about the customer when the customer signs up for the Burohelp CSR Platform or otherwise provides personal information to Burohelp in the context of this Agreement. Burohelp’s collection and use of this information, which is processed as the data controller, is described in the Privacy Policy, available in Burohelp’s privacy policy.
15.3 Data Processor Responsibilities
As a data processor, Burohelp processes personal data that the customer has provided (including data collected or generated through the use of the Service) for the purpose of providing the Service. This processing of personal data is governed by a separate Data Processing Agreement entered into between the customer and Burohelp in connection with the customer’s signing up for the Service, which is attached hereto as Annex 1.
16. Customer Data
16.1 Ownership and Use of Customer Data
The customer, its subsidiaries, affiliates, and customers retain all rights pertaining to all data, personal data, or other information that the customer, or another party on the customer’s behalf, provides to Burohelp for the purpose of providing the Service (“Customer Data”). Where permitted by Data Protection Laws, Burohelp may process Customer Data or other data derived from the operation of the Service:
(i) To build or improve the quality of its services (data shall be in aggregated and anonymous form);
(ii) To detect security incidents;
(iii) To protect against fraudulent or illegal activity; and
(iv) To create public statistics, for example, to enable customers to benchmark their performance against industry-level statistics (data shall be in aggregated and anonymous form).
17. Disclaimer of Warranties
THE CUSTOMER’S USE OF THE SERVICE, INCLUDING, WITHOUT LIMITATION, THE CUSTOMER’S USE OF ANY CONTENT ACCESSIBLE THROUGH THE SERVICE AND THE CUSTOMER’S INTERACTIONS AND DEALINGS WITH ANY BUROHELP USERS, IS AT THE CUSTOMER’S SOLE RISK. BUROHELP DOES NOT WARRANT UNINTERRUPTED USE OR OPERATION OF THE SERVICE OR THE CUSTOMER’S ACCESS TO ANY CONTENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY THE CUSTOMER FROM THE SERVICE WILL CREATE ANY WARRANTY REGARDING BUROHELP THAT IS NOT EXPRESSLY STATED IN THESE TERMS.
EXCEPT FOR ANY EXPRESS WARRANTIES INCLUDED HEREIN, BUROHELP DISCLAIMS ALL WARRANTIES, TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPRESS OR IMPLIED, WITH RESPECT TO THE SERVICE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. BUROHELP DOES NOT WARRANT THE ACCURACY OF ANY DATA PROVIDED IN CONNECTION WITH THE SERVICE, OR THAT THE SERVICE IS FREE OF BUGS OR ERRORS.
18. Indemnification
18.1 Burohelp’s Indemnification Obligations
Burohelp will defend, indemnify, and hold harmless the customer from and against any costs, damages, expenses, and liabilities (including, but not limited to, reasonable attorneys’ fees) arising out of or in relation to third-party claims or actions arising out of or relating to infringement of a third party’s intellectual property rights due to the customer’s use of the Service, except to the extent such claims or actions arise out of or are related to:
(i) Any modification or combination of the Service by the customer with any service not provided by Burohelp;
(ii) Any third-party programs, information, or data (including any Third-Party Services);
(iii) Any access or use of the Services by the customer in violation of these Terms, including the restrictions set forth in Section 6; or
(iv) Any data, information, or content provided by the customer.
Burohelp’s indemnification obligation in this Section only applies under the condition that the customer has notified Burohelp in writing of a claim or action within a reasonable time.
In case such a third-party claim is made or is likely to be made, Burohelp is responsible, at its own cost, for obtaining any necessary rights for the customer to continue to use the Burohelp CSR Platform under the terms of the Agreement or replace or modify the infringing part of the Burohelp CSR Platform to be non-infringing without decreasing functionality. If Burohelp is unable to replace or modify the infringing part, then Burohelp may terminate this Agreement upon written notice to the customer, in which case the customer shall be entitled, as its sole remedy, to a pro-rata refund in the amount of the unused portion of any prepaid fees for the terminated Service calculated as of the effective date of termination. Burohelp’s liability, and the customer’s sole remedy, for infringement of intellectual property rights in the Burohelp CSR Platform shall be limited to this Section 18.1.
18.2 Customer’s Indemnification Obligations
The customer will defend, indemnify, and hold harmless Burohelp from and against any costs, damages, expenses, and liabilities (including, but not limited to, reasonable attorneys’ fees) arising out of or in relation to third-party claims or actions arising out of or relating to:
(a) Any breach by the customer or any Authorised User of the restrictions set forth in Section 6 above;
(b) Any violation of applicable law by the customer;
(c) Any data, information, or content inputted into the Burohelp CSR Platform or otherwise provided by the customer, including any actual or alleged infringement of third-party intellectual property rights or rights to privacy arising out of any such data, information, or content, including Customer Data;
(d) Any of the customer’s products or services;
(e) Any material breach by the customer of this Agreement; or
(f) Any gross negligence, wilful misconduct, or fraud by the customer.
19. Limitation of Liability
Neither party nor its suppliers or licensors will be liable for any indirect, incidental, special, consequential, or exemplary damages, including, without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses (even if such party or any supplier or licensor has been advised of the possibility of these damages), arising out of this Agreement.
Burohelp’s maximum total liability towards the customer and its Authorised Users for all claims under these Terms or otherwise in relation to the Service, whether in contract, tort, or otherwise, is limited to and with a maximum of 12 months that equals the subscription fee paid by the customer.
Any limitations of liability under this Section 19 shall not apply with respect to a breach of Section 14 (Confidential Information) or in the event of gross negligence, wilful misconduct, or fraud.
20. Governing law and dispute resolution
These Terms shall be governed and construed in accordance with the laws of the Netherlands, without giving effect to principles of conflicts of law or to the Convention on Contracts for the International Sale of Goods. Any dispute, controversy, or claim arising out of or relating to this contract, or the breach, termination, or validity thereof, shall be finally settled in front of the courts of the Netherlands. The language of any dispute shall be English.
21. Other terms
Neither party will be responsible for any failure or delay in the performance of its obligations under this Agreement (except for any payment obligations) due to causes beyond its reasonable control (a “Force Majeure Event”), which may include, without limitation, labour disputes, strikes, lockouts, shortages of or inability to obtain energy, raw materials or supplies, denial of Service or other malicious attacks, telecommunications failure or degradation, pandemics, epidemics, public health emergencies, governmental orders and acts (including government-imposed travel restrictions and quarantines), material changes in law, war, terrorism, riot, or acts of God.
Burohelp’s failure to act in a particular circumstance does not waive its ability to act with respect to that circumstance or similar circumstances. Any provision of these Terms that is found to be invalid, unlawful, or unenforceable will be severed from these Terms, and the remaining provisions of these Terms will continue to be in full force and effect. The section headings and titles in these Terms are for convenience only and have no legal or contractual effect.
Neither party may assign this Agreement.
Burohelp may change the content of this Agreement, subject to posting a notice of change on its webpage.
Any notices under or in relation to the Agreement shall be sent in accordance with the notice provisions in the Agreement.
By using the Service, the customer consents to receiving electronic communications from Burohelp. These communications may include notices about the customer’s account and information concerning or related to the Service.
